Most companies "exit" via M&A, not IPO. Would you rather be easier or harder to buy when your corporate suitor comes knocking? You can optimize your operations to be prepared for being purchased or you can run without regard to M&A. Some companies are easier to "consume" than others based on how they run a variety of their operations including, accounting, finance, legal and other areas. This event will prepare you to organize and run your operations to be optimized for being bought. It will also provide similar consideration for those doing the buying, as it helps to have both perspectives regardless of which side you are on: buyer or seller.

This seminar will include update on the M&A market; legal and accounting best practices for acquiring or being acquired; insights from finance professionals who have closed recent deals; and an interactive discussion of M&A trends and best practices. These insights will come from seasoned practitioners and experts on corporate M&A. The seminar will consist of three brief educational sessions, an interactive panel discussion and a networking session.

Mr. Garai is chair of the firm's Private Equity & Venture Capital Practice and co-chair of the Life Sciences Team.

Mr. Garai's private equity and venture capital practice encompasses all legal and business aspects of structuring, financing and managing various types of investment funds; negotiating mergers, acquisitions and dispositions of portfolio companies; structuring investments in emerging companies; and participating in strategic decisions of funds and fund-owned companies. Mr. Garai also counsels emerging life science companies, including biotech, medical device, pharmaceutical and medical service businesses. Mr. Garai addresses the strategic issues facing his clients through a combination of practical, business-oriented solutions and highly sophisticated financing techniques. He builds coherent, interdisciplinary teams to apply Foley's nationwide "best-of-breed" talents to his clients' diverse needs. Mr. Garai graduated with a J.D. from Harvard Law School in 1976, and earned a B.A. from Harvard College in 1973. He is admitted to practice in Massachusetts, New York, and the District of Columbia. He lectures and writes frequently to business-people and professionals on venture capital, private equity and mergers and acquisitions. He recently co-edited "Buying and Selling a Privately Owned Business in Massachusetts" and "Middle Market Mergers and Acquisitions," both published by MCLE. In 2010, the Legal 500 recognized Mr. Garai for mergers & acquisitions.

He was selected for inclusion in the 2004-2010 Massachusetts Super Lawyers® lists. He was also selected by his peers for inclusion in The Best Lawyers in America® (2007-2011) in the field of mergers and acquisitions. He is the Hungarian Consul General for New England and founder of the Hungarian-American Chamber of Commerce of New England. He received the Hungarian Civilian Cross, the highest recognition to non-residents awarded by the Hungarian president. During his work as Honorary Consul, Mr. Garai was awarded the Hungarian Order of Merit in 2005 and an award pro auxilio cirium Hungarum in 2007 to recognize his efforts for the protection of Hungarian citizens.

John has been CFO at four technology companies, a finance executive at Cardinal Health, and in multiple roles at AlliedSignal and Cisco Systems. John has raised over $100M in equity capital and debt and has played central roles in numerous buy and sell-side transactions for both public and private companies. As COO at two companies, John also ran Engineering, Manufacturing and Customer Service operations. He has also founded, invested in and been a board member or advisor of a number of companies. John has a B.A. in Economics from Connecticut College and an MBA from the Fuqua School of Business at Duke University.

Brian is a partner in PwC's Transaction Services Practice in New York and has spent 20 years in public accounting, with the most recent 15 years focused exclusively on mergers and acquisitions. Brian is the Technology Industry leader of the Metro Region Merger & Acquisition practice and the National Leader of Transaction Services Industries. He has provided advisory services across the deal continuum including target identification, financial due diligence, transaction structuring, model analysis, purchase and financing agreement reviews, and post closing consultation, all from both the buy and sell side. He has served both financial and strategic buyers in over 300 transactions ranging in value from $10 million to over $10 billion, in both the US and internationally. Brian has spent his time focusing on deals in both the corporate and private equity markets, specializing in technology and media & entertainment. Some of his clients include the following: J&J, Sony, IMS Health, Alcatel Lucent, United Business Media, etc. He has demonstrated an in depth understanding of the keys to successfully serving the sophisticated requirements of strategic and financial buyers. Brian has been interviewed for numerous articles including the Wall Street Journal, New York Times, and the Daily Deal and appeared on CNNfn to discuss the M&A marketplace. Brian has made presentations at various conferences on how to approach due diligence and some of the common high risk areas.
Matthew Porzio Matthew Porzio

Mr. Porzio joined IntraLinks in August of 2003. He is responsible for driving the development and marketing of IntraLinks' Exchanges including virtual dealroom/dataroom solutions for the M&A and restructuring communities. Before joining IntraLinks, he was a senior associate at Metzler, a German advisory firm, where he focused on cross-border M&A transactions. Prior to Metzler, Mr. Porzio served as an analyst and associate in Equity Capital Markets and Business Services Investment Banking groups at First Union Securities (later Wachovia).

Mr. Porzio holds a Bachelor's degree from Colgate University. Mr. Porzio is widely recognized as a leading authority on virtual datarooms and M&A technology. He has been quoted in several national and international publications related to the investment banking, legal and corporate M&A markets including the Boston Globe's Business Section, Investment Dealers Digest, The Deal and American Lawyer.

Mr. Porzio has spoken on numerous industry panels and is a member of the selection committee for the M&A International Media Awards.
Edward Schultz Edward Schultz

Schultz's career includes Fortune 100 experience, with strong financial and operational leadership skills in strategic planning, mergers and acquisitions, business development and turnarounds. As Consultant to Wave Biotech, LLC, a $25 million international manufacturer of processing equipment to the biotech and pharmaceutical industries, he provided counsel in the areas of strategic direction, financial strategies and IT. He led the financial function for Wave in presentations to potential strategic partners and in due diligence, negotiating the purchase agreement and initial integration in the acquisition by GE Healthcare. While serving as CFO of Hoboken Wood Flooring Corporation, a $600 million, 1,000 employee national distributor of hardwood and other flooring, Schultz managed the $125 million asset-based and mezzanine debt refinancing of a private equity group-backed corporation and acquisition of a $130 million (revenue) rollup company. He guided the spinout and $100 million refinancing of private equity group-owned Sonneborn, Inc. as CFO of the $260 million international manufacturer and distributor of refined petrochemicals, which acquired the assets of a division of Chemtura Corporation (formerly Crompton). He played a central role as CFO and Treasurer in the merger of Phyton, Inc., a $75 million privately held biotech research, development and manufacturing company, with a mid-sized specialty pharmaceutical, including strategic planning, investment banker selection, planning of the offering memorandum, presentations, due diligences, purchase agreement and integration with the purchaser. Schultz holds a Master of Business Administration from Harvard Graduate School of Business and a Bachelor of Business Administration in Accounting from Adelphi University.
