Executive offer letter (California)

| Jun 4, 2009This offer letter is a fairly generic CA offer letter but for the change of control provision which includes provision for accelerated vesting. This letter has what is known as a "double trigger" for the vesting acceleration. That is, the company needs to go through a change of control (which is defined in the doc) AND the employee needs to be let go by the acquirer. Sometimes a single trigger is more appropriate. Check with your counsel before using this to ensure it is appropriate for your company and situation.
