Twenty years’ experience in successfully building and managing the finance, operations and administrative functions for early stage companies, most recently as CFO for a public software company. Key contributor on executive teams with success in: securing over $50 million in financing; M&A; setting corporate strategy; negotiating customer/partner agreements and participating actively with boards of directors.

CFO and Corporate Secretary : ANTs software inc. - [2001-01 to 2009-06]
Hired as financial consultant, appointed CFO and Secretary after nine months. Helped grow company from zero to over $8 million in revenues. Responsible for: Raising Capital - over $50 million raised through equity and debt. Strategic Transactions - Completed $13 million debt restructuring. Conducted M&A due diligence. Completed $3.5 million product sale and $1.3 million technology license. Finance - Managed SEC reporting, budgeting, forecasting, accounting and treasury. Managed implementation of SOX and FAS 123(R). Board of Directors - Actively participated in board meetings. Worked closely with chairs of audit, compensation and governance committees. Legal - Responsible for all legal matters including: SEC disclosures, copyright and intellectual property (secured six patents), customer and partner agreements. HR and Operations - Responsible for recruiting, hiring and layoffs. Managed administrative staff, IT, site selection, lease negotiation and build out.

VP Finance : eStar, Inc. - [1999-01 to 2000-12]
Founding member of management team for internet publishing and product company. Helped secure A round, set company strategy, recruit and manage staff, implement accounting, IT and office systems. Set up product fulfillment facilities and legal structure.

Partner : era2 Interactive, Inc. - [1988-01 to 1998-12]
One of two partners in leading high-tech design and internet consulting firm. Managed finance, operations and administrative functions. Developed and grew customer relationships. Sold and delivered projects. Managed designers and programmers to develop corporate web sites, interactive sales presentations, corporate educational materials, executive and trade-show presentations. Merged era2 Interactive into eStar, Inc. in early 1999.
