Doing Business In Argentina - Establishing A Subsidiary

Doing Business In ArgentinaWe are a mid-market IT services firm looking to establish a subsidiary for offshoring certain components of our business in Argentina. We plan to transfer a few employees down there along with a local hire from Buenos Aires to start up the practice. Does anyone have any advice or concerns from prior experiences of establishing a subsidiary in Argentina? Thanks

Hello,

I hope the following information helps you to understand some of what is needed and the process for establishing an entity in Argentina.

Setting up an entity – S.R.L requires...
- 2 shareholders (at minimum) – can be corporate or individuals – or both
- Documentation to be provided on shareholders – if corporate background on business plus last 3 years of audited account
- A Local Representative – role must be filled by an Argentina national
- Share capital – capital to be paid up within 12 months of incorporation
- Local banking
- Local office address

Here are some other things to keep in mind...
- An understanding of the activities of the business and employees
- A local contract of employment required for local ee
- Immigration/Expat issues for those being transferred - assume from the US
- New TP compliance requirements – first filings 1st April 14
- Recent changes to tax on dividend and profit distribution
- Regulatory filing requirements

Have a great day.
