Does anyone know an excellant tax attorney in the Bay Area?

We have very specific questions about tax implications of capital contributions within an LLC (especially non-cash contributions);  also we have a dispute with one of the inactive members and need to make sure we are recording all correctly.

I haven't used an attorney for this stuff yet (at least not in the States). Malcolm Ellerbe at Armanino is a really nice guy...and bright. I can get you his contact info offline if you'd like (or just call them, they're small enough that you can get through).

You might try Dick Marshall in San Francisco. He is very well connected and will tell you if he is not right for your job.

I would recommend David Wittrock (http://www.wittrockassoc.com/). I have worked with David since the mid 90's and always contact him regarding tax matters. He to will let you know if he can do the job or certainly find you someone who can. He is a former Tax Partner with KPMG, a CPA and tax lawyer. Good luck.
